Terms & Conditions

1. Purpose and Acceptance

These Terms and Conditions govern the commercial relationship between InHorizon LLC (hereinafter, “InHorizon”) and its customers, including hospitals, medical centers, institutions, healthcare professionals, distributors and other buyers, with respect to the request, quotation, sale and delivery of medical products, equipment and supplies.

Issuing a purchase order, accepting a quotation or placing an order with InHorizon constitutes acceptance of these Terms and Conditions, unless otherwise expressly agreed in writing.

2. Products and Quotations

Quotations and offers issued by InHorizon are subject to inventory availability and to the conditions specified in each quotation.

Prices, quantities, payment terms, estimated delivery dates and other commercial conditions shall be those set forth in the corresponding quotation, purchase order, invoice or agreement.

InHorizon reserves the right to update its products, prices and commercial conditions when necessary due to changes in costs, availability, manufacturers, suppliers or other market conditions.

3. Orders and Payments

Orders shall be deemed confirmed once InHorizon accepts the purchase order or the conditions set forth in the corresponding quotation are met.

The customer is responsible for providing accurate and complete information for billing, processing and delivery of the merchandise.

Payments shall be made in accordance with the terms agreed upon with each customer, including, as applicable, advance payment, electronic transfer, check or other methods previously authorized by InHorizon.

4. Shipping and Delivery

Delivery dates provided by InHorizon are estimates, unless a guaranteed delivery date is expressly agreed upon in writing.

InHorizon shall not be liable for delays caused by circumstances beyond its reasonable control, including delays by manufacturers, suppliers or carriers, weather conditions, supply chain disruptions, force majeure events or any other similar circumstance.

The place and conditions of delivery shall be those set forth in the corresponding quotation, purchase order or agreement.

5. Quality, Inspection and Claims

Products sold by InHorizon shall comply with the applicable requirements and regulations, as appropriate to the type of product and its manufacturer.

The customer shall inspect the merchandise received and notify InHorizon of any discrepancy related to quantities, incorrect products, visible damage or possible defects within a reasonable period after receiving the order.

All claims must include the information necessary to identify the transaction, including the purchase order number, invoice, product, affected quantity and a description of the situation.

Applicable warranties are subject to the conditions established by the manufacturer and to the corresponding legal provisions.

6. Returns and Cancellations

Returns of products properly shipped in accordance with the purchase order, quotation or order confirmed by the customer are not accepted.

Any claim related to incorrect products, incorrect quantities, damaged merchandise or defects must be reported to InHorizon for evaluation. Any return that is warranted under any of these circumstances requires prior authorization from InHorizon.

Returns of products that have been opened, used, altered, expired or whose original packaging has been compromised will not be accepted, except where required by law or by an applicable warranty.

Products ordered specifically for a customer, custom-manufactured products or special orders shall be considered a final sale and are not subject to return or cancellation, unless previously agreed in writing.

Any cancellation request must be made in writing and is subject to the status of the order and to the commitments InHorizon has made with manufacturers or suppliers.

7. Limitation of Liability

To the extent permitted by applicable law, InHorizon’s liability related to a product shall be limited to the obligations that apply under the law, the applicable terms of sale and the warranties offered by the manufacturer.

InHorizon shall not be liable for improper use, inadequate storage, alteration or use of the products contrary to the manufacturer’s instructions or recommendations.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the applicable laws of the Commonwealth of Puerto Rico and the applicable federal laws of the United States.

Any dispute related to these Terms and Conditions or to transactions carried out with InHorizon shall be subject to the jurisdiction of the competent courts of Puerto Rico, unless the parties agree in writing to another dispute resolution mechanism.
